Terms for Agent

BuyChemJapan Corporation ("BuyChemJapan") provides website features and other products and services to its customers (“Customers”) at BuyChemJapan.com (collectively, "BuyChemJapan Services"). The Agent shall act for BuyChemJapan to obtain the Customers subject to the following terms.

Registration as Agent

Subject to these Terms for Agent (“Terms”), an applicant may apply for registration as a non-exclusive Agent of BuyChemJapan through the website (“Agent”).
Applicant shall provide all the information BuyChemJapan requires upon its registration. Also, Agent shall respond immediately if BuyChemJapan asks for additional information at any time.
Applicant shall provide the information on its bank account which will receive Commissions. The name of the bank account holder shall match the name of Applicant. If the name of Applicant and the name of the bank account holder do not match, the Commission will not be paid.
BuyChemJapan has complete discretion as to whether the applicant can be registered or excluded.

The Service of Agent

Agent provides accurate information and advice about BuyChemJapan Services to potential customers, introduces BuyChemJapan to such potential customers, and make them to sign up for BuyChemJapan’s website.
Notwithstanding the above, BuyChemJapan does not give Agent any authority to conclude a contract and there is no employment relationship between BuyChemJapan and Agent.
Agent shall not introduce BuyChemJapan to company or organization which Agent belongs to.
Agent shall not damage BuyChemJapan Services and its reputation.
BuyChemJapan is not responsible for any act by Agent and any dispute between Agent and Customers or third parties.

Customer: Customer is a corporation that signs up for BuyChemJapan’s website, makes inquiries and negotiations with manufacturers, and finally orders the products from BuyChemJapan.

Commissions

As compensation for Agent’s services provided hereunder, BuyChemJapan will pay Agent a commission (“Commission”) in the amount of one [1] percent of the contract price of the products actually sold by BuyChemJapan to Customers introduced by Agent.
Notwithstanding the above, if Customer introduced by Agent does not pay BuyChemJapan according to the contract price, Commission shall not be paid to Agent.
This Agreement between Agent and BuyChemJapan shall be terminated on December 31, 2026. Commission shall be paid only for contracts shipped until December 31, 2026 and no Commission shall be paid for any subsequent shipments. The reference date for shipping products shall be the date on the B/L.

Payment

BuyChemJapan shall pay Agent the Commissions for all product contracts entered into between BuyChemJapan and Customers (introduced by Agent) according to the invoice Agent issues to BuyChemJapan following the format specified by BuyChemJapan.
The payment by BuyChemJapan to Agent will be made as below.
- i) Agent shall issue the invoice of Commission to BuyChemJapan after both the payment of the products from Customer (introduced by Agent) and the shipment of the products from BuyChemJapan are confirmed.
- ii) BuyChemJapan shall pay the Commission to Agent within 60 days after BuyChemJapan receives the invoice.
The payment will be made by wire transfer to the account designated by Agent. If Applicant is an individual, it must be the name of his individual bank account, and if Applicant is a corporation, it must be the name of the corporation bank account. The remittance fee will be borne by Agent.
Agent shall not change the bank account designated. If Agent violates this provision, it will lose its right to receive all Commissions.

Term and Termination

The agreement between BuyChemJapan and Agent shall be effective from the day when BuyChemJapan approves the registration of Agent for one [1] year. And it shall be automatically renewed for successive one [1] year renewal terms, unless either party provides notice of non-renewal to the other party at least 30 days prior to the end of the term. Notwithstanding the above, this Agreement shall terminate on December 31, 2026.
If Agent commits a material breach of any of its obligations under these Terms and fails to correct such breach within 20 days after receiving notice of the breach from BuyChemJapan or destroy the relationship of trust with BuyChemJapan, BuyChemJapan may have the right to terminate this Agreement effective immediately upon notice to Agent.
If this Agreement is terminated due to Agent’s failure, Agent shall lose the right to receive all Commissions in the future.

Reports: BuyChemJapan may make Agent submit reports of activities performed under this Agreement.

Indemnification: Agent shall indemnify, defend and hold harmless BuyChemJapan and its officers, directors and employees from all claims, damages, losses, costs and expenses arising out of any representation or warranty given by Agent with respect to BuyChemJapan Services or the breach of these Terms by Agent.

Disclaimer: BuyChemJapan disclaims all warranties, whether express or implied, concerning the accuracy, suitability, or any other characteristic of BuyChemJapan Service.

Intellectual Property: Except as granted in these Terms, Agent has no rights to BuyChemJapan’s trademarks, trade names, copyrights and any other intellectual property, and Agent shall not in any way infringe upon such rights.

Confidentiality

Agent shall keep confidential all non-public information of BuyChemJapan (“Confidential Information”) that it receives from BuyChemJapan and Customers in connection with this Agreement. Agent shall use the Confidential Information only for the purpose of this Agreement. Agent shall not disclose the Confidential Information to any third party, unless it obtains the prior written consent of BuyChemJapan. The obligations in this provision will survive the expiration or termination of this Agreement permanently.
Agent shall not use for any other purpose or leak personal information obtained in connection with this Agreement.

Electronic Communications: Agent consent to receive communications from BuyChemJapan electronically. Agent agrees that all agreements, notices, disclosures, and other communications that BuyChemJapan provides to Agent electronically satisfy any legal requirement that such communications be in writing.

Disputes: Any dispute or claim relating to this Agreement between BuyChemJapan and Agent will be exclusively referred to Osaka District Court of Japan.

Applicable Laws: Both parties agree that these Terms and any dispute that might arise between BuyChemJapan and Agent will be governed by the laws of Japan.

Modification and Severability: BuyChemJapan reserves the right to make changes to its website, policies, and these Terms at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition. BuyChemJapan may occasionally update these Terms. Agent continues to provide its service to BuyChemJapan after such changes will be subject to the then-current terms.
